These Terms of Service ("Terms") govern your access to and use of Vada's website, applications, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms.
1. Eligibility and Accounts
You must have authority to enter into these Terms on behalf of yourself or your organization. You are responsible for maintaining account security, controlling access credentials, and ensuring that account information is accurate.
2. Use of the Service
Vada provides tools for peer feedback, 360 review cycles, pulse surveys, and recognition workflows. You agree to use the Service in a lawful, respectful, and professional manner.
- Do not submit unlawful, abusive, defamatory, or infringing content.
- Do not attempt unauthorized access, reverse engineering, or service disruption.
- Do not use the Service to violate employment, privacy, or data protection obligations.
3. Customer Data and Ownership
You retain ownership of feedback submissions, survey responses, profile information, and other content you or your users provide ("Customer Data"). You grant Vada a limited license to host, process, and transmit Customer Data only as needed to operate, secure, and improve the Service.
4. Privacy and Confidentiality
Vada processes personal information in accordance with the Privacy Statement. You are responsible for informing your users about your internal policies regarding performance feedback and survey participation.
5. Billing, Trials, and Subscriptions
Paid access is billed on a per-seat subscription basis according to your selected plan and billing cycle. If a free trial is offered, paid charges begin only after the trial ends unless you cancel beforehand. Fees are non-refundable except where required by law or expressly stated in writing.
6. Availability and Changes
We aim to keep the Service available and reliable, but do not guarantee uninterrupted operation. We may modify features from time to time to improve quality, security, and performance.
7. Suspension and Termination
We may suspend or terminate access for material violations of these Terms, security risks, or unlawful use. You may stop using the Service at any time. Upon termination, rights to use the Service end, and data handling follows our retention and deletion practices.
8. Disclaimers
The Service is provided on an "as is" and "as available" basis. Vada disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by law.
9. Limitation of Liability
To the fullest extent permitted by law, Vada will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, or goodwill. Vada's aggregate liability arising from these Terms will not exceed the amounts paid by you to Vada for the Service during the twelve (12) months preceding the event giving rise to liability.
10. Governing Law
These Terms are governed by applicable laws of your primary contracting jurisdiction with Vada, without regard to conflict-of-law rules, unless otherwise required by law.
